Addendum to Terms of Service

1. Overview

This Software Trials Addendum (the "Addendum") supplements the FieldPal Assist Terms of Service (the "Terms"). This Addendum applies where FieldPal provides access to the Service at no cost for evaluation purposes (the "POC").

The Terms apply in full to the POC. Where there is a conflict between this Addendum and the Terms, this Addendum shall take precedence for the duration of the POC.

By participating in the POC, the Customer agrees to this Addendum in addition to the Terms and the Privacy Policy.

2. POC Period

2.1 Duration. The POC shall commence on the date the Customer is granted access to the Service and shall continue for the period agreed between the parties, not to exceed sixty (60) days from the date of activation (the "POC Period").

2.2 No Automatic Renewal. The POC will not automatically renew or convert to a paid subscription. Continued use of the Service after the POC Period requires the Customer to enter into a paid commercial agreement.

2.3 Early Termination. Either party may terminate the POC at any time by providing written notice to the other party. FieldPal reserves the right to terminate the POC immediately if, in its reasonable opinion, the Customer is misusing the Service or acting in breach of the Terms.

3. Fees

No fees are payable by the Customer during the POC Period. The Service is provided at no cost for evaluation purposes only.

4. Usage Limits

FieldPal reserves the right to impose reasonable limits on the Customer's use of the Service during the POC Period. Such limits may include, without limitation, restrictions on:

• The number of authorised Users and devices.
• The volume of documents, files, or images uploaded.
• Storage capacity and bandwidth.
• API calls and interactions.
• Access to specific features or functionality.

FieldPal will use reasonable efforts to notify the Customer of any limits imposed. FieldPal may modify these limits at any time during the POC Period at its sole discretion.

5. Data Rights and Model Training

5.1 Expanded Data Licence. As a condition of receiving the Service at no cost, the Customer grants FieldPal a non-exclusive, perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and incorporate Customer Data (excluding Personal Data as defined under the UK GDPR) for the purposes of training, improving, developing, and enhancing FieldPal's AI models, algorithms, and the Service generally.

5.2 Scope. This licence applies to operational and technical content provided through the Service, including but not limited to uploaded documents, manuals, technical data, queries, interactions, and AI-generated outputs. It does not extend to any data that identifies or could reasonably be used to identify a natural person.

5.3 No Opt-Out for Software Trial POC. The opt-out right described in Section 5.4 of the Terms (Service Improvement) does not apply during or in respect of the POC. The data rights granted under this Section 5 are a material condition of the POC. Customers who wish to retain the opt-out right may do so by entering into a paid commercial agreement.

5.4 Survival. The licence granted under this Section 5 shall survive the expiry or termination of the POC and these Terms. For the avoidance of doubt, FieldPal may continue to use data already incorporated into its models after the POC ends, but will not retain or access identifiable Customer Data beyond the retention period set out in Section 7.

6. Limitation of Liability

6.1 Liability Cap. Notwithstanding Section 11 of the Terms, FieldPal's total aggregate liability under or in connection with the POC, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed one hundred pounds sterling (£100).

6.2 Exclusions. The exclusions of indirect and consequential damages set out in Section 11.2 of the Terms apply in full to the POC.

6.3 Acknowledgement. The Customer acknowledges that the Service is provided at no cost during the POC and that the limitations of liability in this Section 6 are fair and reasonable in the circumstances.

6.4 Statutory Protections. Nothing in this Addendum excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

7. Data on Expiry

7.1 Upon expiry or termination of the POC, the Customer may request export of their Customer Data within fourteen (14) days. FieldPal shall make Customer Data available for export in a standard format upon such request.

7.2 After the fourteen (14) day period, FieldPal may delete Customer Data from its active systems at its discretion. This does not affect any data already incorporated into FieldPal's AI models in accordance with Section 5.

7.3 If the Customer transitions to a paid commercial agreement within the fourteen (14) day period, Customer Data will be retained and made available under the terms of that agreement.

8. No Warranty

The Service is provided during the POC on an "as is" and "as available" basis. To the maximum extent permitted by law, FieldPal disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or availability.

FieldPal does not warrant that the Service will be uninterrupted, error-free, or suitable for the Customer's requirements during the POC. The Customer uses the Service during the POC entirely at its own risk.

9. Support

During the POC, FieldPal will provide support on a best-efforts basis. The Customer acknowledges that no service level agreements or guaranteed response times apply during the POC Period.

FieldPal may, at its discretion, provide onboarding assistance, training, or technical guidance to support the Customer's evaluation of the Service.

10. General

10.1 Entire Addendum. This Addendum, together with the Terms and the Privacy Policy, constitutes the entire agreement between the parties with respect to the POC.

10.2 Governing Law. This Addendum shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

10.3 Severability. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
