End User Licence Agreement

1. About This Agreement

1.1 This End User Licence Agreement ("EULA") governs your use of the FieldPal Assist platform and any associated applications (the "Service") as an individual user. The Service is provided by SightLine AI Limited, registered in England and Wales (No. 16565237), with its registered office at Building 1000 Beach Drive, Waterbeach, Cambridge, England, CB25 9PD ("FieldPal", "we", "us", or "our").

1.2 This EULA applies regardless of how you access the Service, including but not limited to:

(a) a web browser;

(b) a mobile application downloaded from an app store;

(c) a wearable application;

(d) an application sideloaded onto a device; or

(e) an application deployed via mobile device management (MDM) or any other enterprise distribution method.

1.3 By creating an account, activating a licence, or using the Service in any way, you agree to be bound by this EULA. If you do not agree, you must not use the Service.

1.4 Your use of the Service is also subject to our Privacy Policy, available at fieldpal.ai/privacy.

1.5 Your organisation may have a separate agreement with FieldPal or with a channel partner governing the commercial terms of access to the Service (the "Customer Agreement"). This EULA applies to you as an individual user regardless of how your organisation obtained access. If there is a conflict between this EULA and the Customer Agreement, the Customer Agreement takes precedence as between your organisation and FieldPal, but this EULA governs your individual use.

2. Your Role

2.1 You will be assigned a role by your organisation. You are either:

(a) a User — an individual authorised to access and use the Service; or

(b) an Administrator — an individual authorised to manage your organisation's account, including uploading documents, inviting users, and configuring the Service.

2.2 Administrators may also use the Service as a User. Your role determines what you can do within the Service. You must only use the features and functions available to your assigned role.

2.3 You must be at least 18 years old to use the Service.

3. Devices and Installation

3.1 You are responsible for the device on which you access the Service, including its suitability, maintenance, security, and compliance with any applicable workplace or regulatory requirements.

3.2 FieldPal is not responsible for:

(a) the selection, configuration, security, or maintenance of your device;

(b) the method by which the application was installed on your device, including app store downloads, sideloading, MDM deployment, or any other distribution method;

(c) the operation, compatibility, or performance of any third-party hardware, operating system, browser, or software on your device;

(d) any damage, data loss, or security breach arising from the installation, use, or removal of the application on your device; or

(e) any third-party app store terms, fees, or policies that apply to your download of the application.

3.3 You must ensure that your device meets any minimum requirements published by FieldPal from time to time. FieldPal does not guarantee that the Service will function on all devices or platforms.

4. Your Account

4.1 Your account is personal to you. You must not share your login credentials with anyone else or allow another person to use your account.

4.2 You are responsible for all activity that occurs under your account. If you believe your account has been compromised, you must notify your organisation's administrator and FieldPal immediately.

4.3 Shared or generic accounts are not permitted. Each user must have their own individual account.

4.4 FieldPal may suspend or terminate your access at any time if we reasonably believe you are in breach of this EULA or if your organisation's access to the Service is suspended or terminated.

5. What You Must Not Do

You must not:

(a) use the Service for any unlawful purpose or in violation of any applicable laws or regulations;

(b) attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or models underlying the Service;

(c) use the Service to develop, train, or improve a competing product or service;

(d) interfere with or disrupt the security, integrity, or performance of the Service;

(e) share, resell, sublicence, or otherwise make the Service available to anyone outside your organisation;

(f) upload or transmit any content that is illegal, harmful, defamatory, or infringes the rights of any third party;

(g) attempt to bypass any access controls, usage limits, or security measures within the Service;

(h) use the Service to store or process personal data beyond what is necessary for its intended purpose;

(i) attempt to extract, scrape, or systematically download data or content from the Service beyond normal use;

(j) misrepresent your identity, role, or authorisation to use the Service; or

(k) use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use.

6. AI-Generated Outputs — Important

6.1 The Service uses artificial intelligence to generate responses, retrieve documents, and provide guidance. While we work hard to make the Service accurate and useful, you must understand and accept the following:

(a) AI outputs may not always be accurate, complete, or current. The Service is a decision-support tool. It is not a substitute for your professional judgement, training, qualifications, or expertise.

(b) You are solely responsible for verifying the accuracy and suitability of any AI-generated output before relying on it, particularly in safety-critical, regulatory, or compliance contexts.

(c) You must not use AI-generated outputs as the sole basis for any safety-critical decision without independent verification by a qualified professional.

(d) FieldPal does not warrant that the outputs will meet your requirements or be error-free.

6.2 If you work in an environment where incorrect information could result in injury, damage, or regulatory non-compliance, it is your responsibility to follow your organisation's verification and sign-off procedures regardless of what the Service tells you.

7. Your Data and Privacy

7.1 When you use the Service, we may collect and process data including your interactions, voice recordings, queries, and device information. This data is processed in accordance with our Privacy Policy.

7.2 Documents and content uploaded to the Service are managed at the organisation level by your administrator. You may have access to documents shared across your organisation's account. You must not download, copy, or distribute documents from the Service except as authorised by your organisation.

7.3 FieldPal may use anonymised and aggregated data derived from use of the Service to improve and develop the Service and its underlying models. This data will not identify you personally.

8. Intellectual Property

8.1 The Service, including all software, algorithms, AI models, interfaces, and documentation, is and remains the property of FieldPal. This EULA does not grant you any ownership rights in the Service.

8.2 You are granted a limited, non-exclusive, non-transferable, revocable right to use the Service for the duration of your authorised access, solely for the purposes intended by your organisation.

9. Service Availability

9.1 We aim to keep the Service available but we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 FieldPal is not liable for any loss or inconvenience caused by the unavailability of the Service.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, FieldPal's liability to you under or in connection with this EULA shall not exceed one hundred pounds sterling (£100).

10.2 FieldPal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10.3 Nothing in this EULA excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

11. Suspension and Termination

11.1 Your access to the Service may be suspended or terminated at any time by:

(a) your organisation's administrator;

(b) FieldPal, if you breach this EULA or if your organisation's access to the Service is suspended or terminated; or

(c) FieldPal, if we discontinue the Service or any part of it.

11.2 Upon termination, your right to access and use the Service ceases immediately. Any data associated with your account will be handled in accordance with the Privacy Policy and your organisation's Customer Agreement.

12. Changes to This EULA

12.1 FieldPal may update this EULA from time to time. We will notify you of material changes through the Service or by other reasonable means.

12.2 Your continued use of the Service after any changes constitutes acceptance of the updated EULA. If you do not agree with the changes, you must stop using the Service.

13. General

13.1 This EULA is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.2 If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 This EULA, together with the Privacy Policy, constitutes the entire agreement between you and FieldPal regarding your individual use of the Service. It does not replace or override any Customer Agreement between your organisation and FieldPal.
